Assessment of Corporate Governance
Effectiveness of the Supervisory board and its committees, documentation and their functioning;
Management board’s effectiveness, its committees and their functioning;Internal control environment – including assessment of IA, RM and Compliance functions as an important part of Corporate Governance (covering matters of independence, sufficiency of resources, clear definition of responsibilities, information sharing, qualification and professional suitability) We will assess the level of maturity of corporate governance and evaluate the gaps to best practices (in accordance with Corporate Governance Development Framework methodology (http://cgdevelopmentframework.com/cg-development-framework/) and OECD Principles of Corporate Governance (https://www.oecd.org/corporate/principles-corporate-governance/), but also provide recommendations on improvements where needed, practical guidance and assistance in implementation. This may include development of by-laws/charters of the SB and committees, detailed implementation plans, helping in setting the minimum requirements to the reporting to the SB, development of template reporting package for the regular board reporting and monitoring tools.
